Understanding The Corporate Sustainability Due Diligence Directive (“CSDDD”)

On 5 January 2023, the Corporate Sustainability Reporting Directive entered into force. It requires all large companies and all listed companies (except listed micro-enterprises) – about 50,000 in all -- to disclose information on what they see as the risks and opportunities arising from social and environmental issues, and on the impact of their activities on people and the environment. The goal is to help investors, civil society organisations, consumers and other stakeholders to evaluate the sustainability performance of companies, as part of the European Green Deal.

Further, a European legislative initiative aimed at requiring companies to undertake human rights and environmental due diligence is gradually but steadily making its way through the EU. The Corporate Sustainability Due Diligence Directive (“CSDDD”), which was formally proposed by the European Commission on February 23, 2022, seeks to oblige companies based or operating in the EU to identify, assess, prevent, and mitigate adverse human rights and environmental impacts arising from their activities. The CSDDD is nearing the trilogue negotiations phase among the European Commission, the Council of the European Union, and the European Parliament. The negotiations among the three EU legislative bodies are expected to be vigorous, given their varying approaches to some of the key provisions of the CSDDD, including:

  • Employee and turnover thresholds for EU and non-EU companies to be covered under the directive;
  • Applicability of due diligence requirements to companies in the financial sector;
  • Scope and extent of due diligence requirements, particularly with respect to companies’ upstream and downstream business relationships and activities;
  • Corporate directors’ duties regarding sustainability matters;
  • Civil liability for damages caused by failure to comply with the directive.

Tara will explain the scope and impact of these directives – including on non-EU companies.
