Ruth Jin
Partner, Leader of Investment Funds Practice; Capital Markets Lawyer, at Moses Singer LLP
Ruth Jin is the Leader of Moses Singer’s Private Investment Funds practice and is a highly experienced corporate and securities law attorney.
Ms. Jin has 20 years of experience delivering high-quality and business-focused legal solutions to private fund sponsors and asset managers of all sizes and strategies. She has formed, structured, re-structured, and advised numerous private funds. Her work encompasses a variety of matters, including fund formation, regulatory compliance, exit strategies, private and public securities offerings, forming SPACs, advising de-SPAC transactions, and guiding portfolio companies for their initial public offerings.
In addition, Ms. Jin has extensive experience advising businesses through all stages of growth from start-up and capital raising right through to initial public offering and their ongoing securities law compliance and periodic reporting.
She has in-depth knowledge of laws and regulations related to investment advisors, corporate governance, mergers and acquisitions, private/exempt securities offering, public securities offerings (including Regulation A+), joint ventures, and cross-border transactions. Her solid legal foundation and techniques have been developed from her training at top law schools and global law firms as well as from her experience as a small law firm partner.
Jay Heller
Head of Capital Markets, Nasdaq, Inc.
At Nasdaq, Jay Heller is Head of the Capital Markets Team. With over 25 years’ experience in the financial markets arena, Jay was tasked by senior management to lead a team in analyzing and enhancing the process in which new listings are facilitated on the exchange. Over the years, Nasdaq has introduced several innovative tools, leveraging data and technology to provide greater transparency for IPOs and Direct Listings.
Under his leadership, the team has executed more than 2,700 IPOs, consisting of operating companies and SPAC’s. Some of the world’s most innovative companies have gone public on Nasdaq during his tenure including: Rivian, Mobileye, Coinbase, TPG, Warner Music, Airbnb and GlobalFoundries, just to name a few.
Prior to joining the Nasdaq in 2008, Jay was the Managing Director of Institutional Trading and Sales at American Capital Partners. There he was a partner on the Institutional Trading and Sales Desk, while working with various hedge funds and financial institutions. Jay also has worked as a market marker at Pershing Capital Markets and NDB Capital Markets, a subsidiary of Deutsche Bank.

Dianne Gubin

Dianne's highest passion is her work as Co-Founder and Co-CEO of C-Sweet, the premier national networking association for female executives across industries.
As an Investment Banker and Principal for Capital InVentures, Dianne works with CEOs seeking $15 to $50 mm+ in debt and/or equity financing. She expedites deal flow, reviews business plans, and raises capital.
Dianne’s background includes over 25 years in B2B sales and account management. She’s owned two technical staffing agencies working across industries with Fortune 1000, middle-market and fast-growth companies.
Concurrently, she is President of Amplify Professional Services Inc, an executive search and consulting agency including senior executive placement, staffing and consulting services across industry sectors, particularly in Information Technology. Dianne and her teams have placed over a thousand candidates into contract and FTE positions across industries. She has seen thousands and thousands of resumes and knows exactly what it takes for you to land your next position.
A graduate of the University of Connecticut, Dianne holds active FINRA Series 79, 7 and 63 licenses.
